2.8 代理傭金的支付方法:

3、甲方責任

3.2甲方承諾本項目的產(chǎn)權及相關文件及合同之合法性、因房屋產(chǎn)權所致瑕疵(包括但不限于抵押擔保等)及合同產(chǎn)生之一切后果,由甲方全權負責。乙方在銷售房屋過程中如發(fā)生房屋產(chǎn)權及所屬糾紛時,甲方負全部責任;
3.3 甲方向乙方提供的資料包括:外形圖、平面圖、地理位置圖、室內(nèi)設備、建設標準、電器配備、樓層高度、面積、規(guī)格、價格、其他費用的估算等;
3.4 在收到乙方提供之意見或建議時,須盡快作出答復,不得拖延;
3.5 甲方在對項目所作任何形式之宣傳時(包括所有的宣傳冊、DM單、平面廣告以及戶外廣告等),須在相應位置顯示乙方為本項目之全程營銷代理商,并接受及維護乙方本身形象之規(guī)范,按照其原有商標設計之使用方式;
3.6 負責確認所有有關本項目之推廣方案及支付推廣費用,包括售樓部設計施工、樣板間的設計施工、日常運營費用(不包括乙方銷售人員的工資、交通、以及其他福利待遇)、項目廣告設計、廣告投放、建筑模型制作、示范單位設計及施工、展銷會、新聞發(fā)布會等。
3.7甲方每月必須蓋章確認由乙方提交的已(租/售)單位清單及傭金之明細;
3.8 甲方應開設專用收款帳戶,并派遣專人在現(xiàn)場收取售樓房款、定金和相關代收費用。
4、乙方責任
4.1 乙方須從項目前期的市場分析、項目定位、建筑設計顧問、銷售建議、銷售方案、銷售管理等,向甲方提供完善和高效的專業(yè)服務;
4.2 乙方承擔銷售現(xiàn)場銷售管理人員及置業(yè)顧問的全部費用(包括員工工資、銷售提成、交通、生活費、工傷、福利等);
4.3 成立由策劃及銷售精英組成的項目小組,為發(fā)展商提供貫穿整項目的策劃及銷售整體服務(包括從開發(fā)客戶、接待客戶、追蹤客戶至安排相關認購手續(xù),及售后追蹤服務等);
4.4 提出關于規(guī)劃、設計的專業(yè)意見;
4.5 利用乙方現(xiàn)有客戶資料庫存進行本項目的宣傳;
4.6 派出從業(yè)經(jīng)驗豐富的管理人員,全面統(tǒng)籌相關工作;
4.7 主持并出席相關例會;
4.8 負責統(tǒng)籌、協(xié)助及安排宣傳工作;

4.11 每日、周提交銷售報告及定期遞交市場狀況報告;
4.12乙方負責協(xié)助甲方與購房業(yè)主簽定正式《商品房買賣合同》;
4.13在正式銷售前,乙方須向甲方提交詳細銷售計劃書,并經(jīng)雙方簽字認可后方可執(zhí)行銷售。
4.14 乙方在銷售過程中,不能向客戶作出虛假承諾或宣傳,如有發(fā)生甲方保留對乙方追究法律責任的權利。
5、合同的解除
5.1 根據(jù)合同雙方約定代理期限自動解除合同;
5.2 乙方員工的行為、言語嚴重損害發(fā)展商信譽及利益(明確定義另行商議)情況時,甲方有權解除代理合同,只須在正式解除合同前清付本合同規(guī)定應該支付的傭金,而無須支付任何賠償;
5.3 甲方出現(xiàn)以下情況時,乙方有權解除代理合同,則甲方須于乙方提出解約后七日內(nèi), 付清合同規(guī)定的所有應付傭金及其他費用:
5.3.1 工期延誤超過三個月(不可抗力情況除外);
5.3.2 協(xié)助推廣的措施未能兌現(xiàn),如售樓部及樣板間工期無故延誤、已應諾的廣告投入無故
延誤或取消等;
5.3.3 對乙方提交的推廣或銷售方案無故拖延,決策不及時;
5.3.4員工的行為、言語嚴重損害代理商信譽及利益(明確定義另行商議)。
5.4 如約定雙方其中一方未能履行職責時,甲乙雙方可協(xié)商解決,在雙方同意的情況下,可中止此合約。屆時乙方仍可收取包括在此期間內(nèi)已出售/出租單位之代理傭金,按本合同第2.8條之約定執(zhí)行。
6、其他
6.1 乙方同意在簽署本合同書后立刻籌備策劃銷售工作,而甲方亦同意于簽署本協(xié)議書后立即履行第3條中甲方責任的條款,以使乙方能盡快開展銷售;
6.2 乙方派出的參與本項目相關工作所有人員,其管理權在乙方,其管理工作屬乙方的內(nèi)部事務,甲方不得干預。若甲方發(fā)現(xiàn)乙方人員出現(xiàn)有損甲方或本項目形象、利益等行為,可直接向乙方委派的負責人提出,乙方必須作出合理解釋及補救措施。
6.3 甲方在委托代理期間及代理期屆滿后十八個月內(nèi),不可聘用曾參與本項目工作的所有乙方的在職或離職人員。否則,乙方有權要求甲方必須按本項目未售出部分總銷售額的0.8%對乙方作出賠償。
6.4 甲乙雙方均同意本合同在雙方簽署及蓋章后生效,若在執(zhí)行協(xié)議中發(fā)現(xiàn)未盡善事宜,可經(jīng)由雙方協(xié)商,并經(jīng)雙方同意后予以補充或修改;
